Terms of Service

1. Agreement
These Terms govern access to and use of CommitLayer (the "Service") provided by {{LEGAL_ENTITY}} ("we", "us"). By creating an account or using the Service you agree to these Terms on behalf of the organisation you represent ("Customer").
2. The Service
The Service reads data from systems of record the Customer connects, evaluates vendor outcome claims against that data under outcome contracts the Customer selects, and produces statements, evidence records and dispute packages. The Service reports what connected facts support; it does not make legal determinations and does not guarantee any outcome of a commercial dispute with a vendor.
3. Accounts and access
Customer is responsible for its users, their credentials and their compliance with these Terms. Counterparty users receive read-only access limited to what a Customer explicitly shares.
4. Customer data
Customer retains all rights to Customer data. We process it only to provide the Service, as described in the Privacy Notice and Data Processing Addendum. We do not sell Customer data and do not share verification results with vendors except at Customer's direction.
5. Acceptable use
Customer will not use the Service to access systems it is not authorised to access, to interfere with the Service, or to make public statements attributing conclusions to us that the Service did not produce.
6. Fees
Fees are stated on the pricing page or in an order form and are billed in advance per billing period. Plan limits are enforced by the Service.
7. Independence
We are paid only by Customers. We do not accept compensation from vendors whose claims the Service evaluates.
8. Warranties and disclaimers
The Service is provided "as is". We do not warrant that verdicts are free from error; verdicts depend on the completeness and accuracy of connected data and selected contracts.
9. Limitation of liability
To the maximum extent permitted by law, neither party's aggregate liability under these Terms will exceed the fees paid by Customer in the twelve months preceding the claim.
10. Term and termination
Either party may terminate for material breach on 30 days' notice if uncured. On termination we delete Customer data in accordance with the retention settings and the DPA.
11. Governing law
To be determined by counsel.
12. Changes
We will give at least 30 days' notice of material changes to these Terms.
